Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Carogen (the “Service”), operated by First Commit LLC (“we,” “us,” or “our”). By creating an account or otherwise using the Service, you agree to these Terms.

1. Acceptance of Terms

By accessing or using the Service you confirm that you are at least 16 years old and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not use the Service.

2. Service Description

Carogen turns news articles into ready-to-publish social carousels. You connect one or more supported social accounts, pick a topic or article, and we generate a carousel with AI-written copy and AI-generated images that you can review and publish.

3. User Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must provide accurate and current information when creating your account.
  • You are responsible for all activity that occurs under your account.
  • You must notify us promptly of any unauthorized use of your account.
  • We may suspend or terminate accounts that violate these Terms or that we reasonably suspect of fraud or abuse.

4. Content

Your Content

You retain ownership of the content you provide or generate through Carogen (“Your Content”). You grant us a limited, non-exclusive, royalty-free license to process Your Content solely as necessary to operate the Service on your behalf.

AI-Generated Content

Carousel images, rewritten headlines, captions, and hashtags are generated by AI. We do not warrant the factual accuracy of AI-generated content. The original article URL is displayed in the carousel preview before you publish so you can verify the source. You are solely responsible for reviewing and verifying anything you publish.

Platform Compliance

We comply with each connected platform's AI-disclosure and publishing rules. By publishing through Carogen you also agree to the terms of any connected platform.

5. Subscriptions and Pricing

  • Pay-per-use: $2.99 per carousel.
  • Starter $19 per month: 15 carousels, 2 connected accounts.
  • Pro $49 per month: 50 carousels, 5 connected accounts, search filter unlocked.
  • Agency $149 per month: 200 carousels, 100 connected accounts, reels unlocked.
  • Annual billing is equivalent to twelve months minus two (two months free).
  • All prices are in U.S. dollars. We do not collect tax or VAT at launch.
  • Subscriptions auto-renew unless cancelled before the renewal date. Cancellation takes effect at the end of the current period.
  • Credit top-ups for subscribers: 25 credits for $25 (one credit equals one carousel; reels add one credit).

6. Refund Policy

  • Generation hard-failure: if a carousel cannot be generated end-to-end, your credit is automatically refunded.
  • Per-account publish failure: if a carousel was generated successfully but a connected platform rejected one of your accounts (rate limit, account policy, expired token), no refund is issued — you can retry that account from your publish history.
  • Disputes are resolved case-by-case via our contact form. Payment disputes follow our payment provider’s standard policy.

7. Prohibited Use

You agree not to:

  • Use the Service for any unlawful purpose or to publish content that violates the rules of any connected platform.
  • Publish content that is defamatory, threatening, harassing, or that infringes the rights of others.
  • Attempt to bypass platform rate limits, the per-account publish queue, or any other operational limit.
  • Use automated tools to scrape, harvest, or extract data from the Service.
  • Share your account credentials with others, or use a single account to act for multiple unrelated businesses.
  • Reverse-engineer, decompile, or attempt to extract source code from the Service.

8. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure. AI-generated content is not professional advice and is not fact-checked journalism. You are responsible for verifying anything you publish.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER First Commit LLC NOR ITS OFFICERS, DIRECTORS, OR AGENTS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

Our total liability for any claim arising under these Terms is capped at the amount you paid Carogen in the twelve months preceding the event giving rise to the claim.

10. Modifications

We may update these Terms from time to time. Material changes will be announced by email or by a banner inside the Service. Your continued use after a change takes effect constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. First Commit LLC is organized under the laws of the State of New York. Any dispute arising out of or relating to these Terms shall be brought exclusively in the state or federal courts located in New York County, New York.
